Code of Conduct

The Code of Conduct comprises the central behavioral guidelines of the Telekom Austria Group. It summarizes the most important considerations and rules that apply to all of our employees and the entire management of the Telekom Austria Group, and is an important element of our corporate culture. The Code of Conduct contains guidelines on:

  • fair dealings
  • confidentiality
  • conflict of interests
  • gifts and personal advantages
  • protection of corporate assets
  • violations against the Code of Conduct
  • communicating the Code of Conduct
  • whistle-blower principles including contact information

 

Anti-Corruption and Conflict of Interest

The goal of these guidelines is to ensure that all relevant legal anti-corruption regulations are observed across the Group and that violations against them are punished convincingly and without regard to rank and position of the persons concerned. This should serve to prevent financial damages or damage to the reputation of the management, employees or companies in the Telekom Austria Group, due to corruption. The Anti-Corruption Guidelines are supplemented by the Group Guidelines Gifts & Invitations, Management-Consulting & Lobbying and Sponsoring, Donations and Advertising.
There is a conflict of interest when our personal and professional interests contradict each other. These guidelines provide help in avoiding or resolving a conflict of interests of this nature.

Gifts and Invitations

The guidelines ensure that neither from giving and accepting gifts nor extending and accepting invitations can any financial damages or damage to reputation arise for our company or our employees. For the Telekom Austria Group the principle applies that no gifts are made to public sector employees. Group companies with its headquarters outside Austria are allowed to grant usual courtesies of nominal value (up to EUR 50) on special occasions if allowed by law and ethically correct.

The aim of these guidelines is to ensure that neither legal violations occur nor that any financial damage or damages to reputation arise for our company or our employees from a consultancy mandate or from lobbying activities, particularly due to misuse of the consultancy or lobbying fees.

These guidelines aim to ensure that no financial damage or damages to reputation arise for the company or the employees from sponsoring, a donation or from advertising.

The goal of these guidelines is to ensure that due to our conduct or business activities the rules of fair competition are adhered to and that no financial damage or damages to reputation arise for the management, the employees or our company.

Capital Market Compliance

Telekom Austria Group is listed on Vienna Stock Exchange and therefore obliged

  • to notify all members of executive bodies and all employees of Telekom Austria Group as well as other persons working for Telekom Austria Group, of the legal prohibition of misuse of inside information,
  • to issue internal regulations on the flow of information within the Company (Capital Market Compliance Guidelines) and to monitor compliance thereof
  • as well as to take organizational measures to prevent misuse or disclosure of inside information and capital market compliance relevant information.

Trading with Telekom Austria shares by the Management Board and Supervisory Board is reported to the Financial Market Authority and published on the website of the Financial Market Authority.
